Corporate Law

Rules and procedures matter as much as good ideas in how a company operates. Studying incorporation, shareholders' meetings, boards and how shareholder rights are exercised taught me to see business through institutions and stakeholders.

What I learned

Before the business you want to build, there is a structure you must respect.

A company does not run on one person's judgment. Shareholders, the board, corporate bodies and stakeholders each hold their own authority, and the more important the decision, the more it requires a defined procedure. A new service cannot launch just because the idea is good.

Application to banking and finance

When planning a new service, I will ask "is it possible?" and "how do we make it possible?"

Banking and payment services handle customers' money and contracts, so a good idea alone is not enough. When reviewing a new business or service, I will talk to relevant teams early, check the required procedures and regulations, and shape the idea into something that can actually be executed. I want to treat regulation as a design condition from day one, not an obstacle at the last step.

Study notes in Korean covering: Incorporation and promoters, Capital and share classes, Governance and decision-making, Exercising shareholder rights.

Changes in capital structure change shareholders' rights. Each stakeholder has different rights and demands.

Forming a company involves defined roles and procedures, which sparked my interest in turning ideas into organizations.

Key decisions specify who may decide and which procedure applies, which helped me understand corporate decision structures.

Holding a right differs from being able to exercise it. I learned why record dates and registration in the shareholder register matter.

Applied to real company cases

I went beyond memorizing provisions and applied them to real corporate decisions.

I mapped course concepts onto news articles and cases to identify issues in governance, shareholder rights, the board and share systems.

How I will apply this at work

I will treat regulation as an execution condition from the start, not a final check.

Services at banks and financial firms rarely launch on a good idea alone. I will engage legal, compliance and related teams early and ask not only "is the idea good?" but also "can the organization actually execute it?"
